Corporate Directors analyses the roles, responsibilities, rights and obligations of directors under the Companies Act, 2013. Written in a lucid style, the book discusses key developments in the areas of Related Party Transactions, Disclosure Requirements, Women Directors and Corporate Social Responsibility. The book provides clarity on the legal provisions and their practical implications through chapters such as ‘How to Read Financial Statements?’ and ‘Safety Net’. In addition to rules, regulations and allied legislations, the appendices to the book include useful comparative tables on Companies Act, 2013 vis-a`-vis Companies Act, 1956 as well as Corporate Governance Norms for Independent Directors under Companies Act, 2013 and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The book will serve as a handbook for directors, key managerial personnel, compliance managers, corporate law practitioners, company secretaries and chartered accountants.
